Nevada markets itself as a tax-free paradise, but $350/year in mandatory fees tells a different story. Here's the honest truth about Nevada LLCs — and why most founders are better served by a ready-made Wyoming LLC that already has its EIN and transfers into your name within 24 hours.

Marketing vs reality

Nevada LLC: what the marketing leaves out

Nevada has invested heavily in marketing itself as a tax-free business paradise. And it's true that Nevada has no personal income tax, no corporate income tax, and no franchise tax. But the marketing conveniently omits the mandatory fees that make Nevada one of the more expensive states for ongoing LLC maintenance.

Every Nevada LLC must pay $350 per year in mandatory fees: a $200 Annual List of Members/Managers filing plus a $150 State Business License renewal. Compare that to Wyoming at $60/year or New Mexico at $0/year. Nevada is nearly six times more expensive than Wyoming annually, despite offering similar tax benefits.

Nevada does have genuine strengths. It provides strong asset protection, charging order protections, and does not require disclosure of members in the initial formation documents (though the Annual List does require disclosure). The state also does not share tax information with the IRS under separate agreement, which is sometimes cited as a privacy advantage.

For most LLC owners — particularly non-residents — Wyoming provides the same benefits at a fraction of the cost. We can register a Nevada LLC for clients who specifically want it, but we believe in transparency about the true costs.

The faster route most founders take: instead of forming from scratch and waiting on the state and the IRS, buy a ready-made Wyoming LLC that already exists and already has its EIN. It transfers into your name within 24 hours, so you can open a bank account and start invoicing the same day. Prefer Nevada specifically? Ask us — we register in Nevada on request too.

The real annual cost of a Nevada LLC. Annual state fees: $200 (Annual List) + $150 (Business License) = $350/year. Over five years: $75 filing + $150 initial list + $150 initial licence + $350 × 4 years = $1,775 in state fees. Wyoming over five years: $400. That's a $1,375 difference.
If you form it yourself

Step-by-step: how to form a Nevada LLC

Step 1: Choose your LLC name

Search for available names on Nevada's entity search. Your name must include "Limited-Liability Company," "Limited Liability Company," "LLC," or "L.L.C." Name reservation costs $25 for 90 days.

Step 2: Appoint a registered agent

Every Nevada LLC must have a registered agent with a physical Nevada address. The agent must be a Nevada resident, a Nevada corporation, or an LLC authorized to do business in Nevada.

Step 3: File Articles of Organization

File online through SilverFlume or by mail. The filing requires:

  • LLC name with designator
  • Registered agent name and Nevada address
  • Name and address of the organizer
  • Management structure (member-managed or manager-managed)
  • $75 filing fee

Step 4: File Initial List of Members/Managers

Within 30 days of formation, file the Initial List ($150). This lists the names and addresses of all members (if member-managed) or managers (if manager-managed). This is a public filing.

Step 5: Obtain State Business License

Apply for the mandatory State Business License ($150) through the Nevada Secretary of State. This must be renewed annually.

Step 6: Create an Operating Agreement

Nevada does not require an Operating Agreement to be filed, but it is essential for banking and legal protection.

Step 7: Obtain an EIN and open a bank account

Standard EIN application process. Nevada LLCs are well-recognized by US banks. (With a ready-made Wyoming LLC, this step is already done — the EIN already exists.)

Frequently asked questions about Nevada LLCs

How much does it cost to form an LLC in Nevada?
Nevada charges $75 for Articles of Organization plus a mandatory $150 State Business License fee, totaling $225 at formation. The annual cost is $350 ($200 annual list + $150 business license renewal). Through USLLCGlobal, total is $324 for domestic ($249 + $75) or $424 for international ($349 + $75). State Business License is separate.
Does Nevada have state income tax?
No. Nevada has no personal or corporate state income tax. However, it does have a Commerce Tax on businesses with gross revenue over $4 million (0.051% to 0.331% depending on industry).
Is Nevada better than Wyoming for an LLC?
No. Wyoming offers the same tax benefits (no income tax) at much lower annual cost. Nevada charges $350/year in mandatory fees ($200 annual list + $150 business license) vs Wyoming at $60/year. Nevada is nearly six times more expensive annually. A ready-made Wyoming LLC also already has its EIN, so you can trade within 24 hours.
What is the Nevada State Business License?
Every Nevada LLC must obtain a State Business License for $150, renewed annually. This is in addition to the annual list filing fee of $200. There is no exemption for non-residents or inactive businesses.
How long does Nevada LLC formation take?
Online filing through SilverFlume takes 1-2 business days. Expedited 24-hour processing is $125. Same-day is $500. Note that the EIN still has to be applied for separately afterwards — a ready-made Wyoming LLC already has its EIN.
Does Nevada provide strong asset protection?
Yes. Nevada has strong charging order protections and does not require operating agreements to be filed. However, Wyoming provides equally strong protections at a fraction of the annual cost.
Why do people choose Nevada for LLCs?
Marketing. Nevada has spent decades promoting itself as a no-tax, business-friendly state. While it has no income tax, the mandatory annual fees ($350/year) and Commerce Tax make it more expensive than it appears.
Can a non-US resident form a Nevada LLC?
Yes. No citizenship or residency requirements. You need a registered agent with a physical Nevada address, which USLLCGlobal provides.
