Colorado is fast and cheap: a $50 filing fee, a $10/year periodic report, and same-day online processing. But you still wait on the IRS for an EIN before any bank will onboard you. If you need to start now, a ready-made Wyoming LLC already has its EIN and transfers into your name within 24 hours.

Colorado is one of the most underrated states for LLC formation. A $50 online filing fee, a remarkably low $10/year periodic report, and same-day processing make it excellent value — and the Centennial State has quietly built one of the strongest tech ecosystems outside Silicon Valley, with startups clustered around Denver, Boulder and Colorado Springs.
You absolutely can form a Colorado LLC yourself, and this page walks you through every step. But forming the company is only half the job: you still have to apply to the IRS for an EIN, and until that EIN lands, no bank or payment processor will fully onboard you. For founders who need to invoice this week, a ready-made Wyoming LLC that already has its EIN removes that wait entirely.

Search for available names on the Colorado Business Entity Search. Your name must include "Limited Liability Company," "LLC," "L.L.C.," or an abbreviation. Colorado does not offer name reservation for LLCs — the name is secured when you file.
Every Colorado LLC must have a registered agent with a physical street address in Colorado. The agent must be available during normal business hours. You can serve as your own agent if you have a Colorado address.
File online through the Colorado Secretary of State. Online filing is recommended (cheaper and faster). The filing requires:
Colorado's Articles of Organization are straightforward and can be completed in minutes. The online system is well-designed and user-friendly.
Not required by Colorado law, but essential for banking, tax compliance, and internal governance. We include a custom Operating Agreement in every formation package.
Apply for an EIN from the IRS. Standard process for all states. Online application available for those with an SSN; fax/mail for non-residents. This is the step that gates banking — and the one a ready-made LLC has already cleared.
If you will sell taxable goods or services in Colorado, register with the Colorado Department of Revenue for a sales tax account. Colorado has a destination-based sales tax system, which can be complex due to varying local rates.
| Tax type | Rate | Notes |
|---|---|---|
| State income tax | 4.4% (flat) | On Colorado-sourced income |
| Franchise tax | $0 | No franchise tax |
| Sales tax | 2.9% state + local | Destination-based; varies significantly by locality |
| Annual report fee | $10 | Lowest annual filing fee in the US |
For non-residents with no Colorado-sourced income, the only annual state cost is the $10 periodic report. Colorado's 4.4% income tax only applies to income earned within the state. If your business has no Colorado nexus, a Wyoming LLC avoids state income tax altogether.
| Processing option | Time | Additional fee |
|---|---|---|
| Online filing | Same day to 1 business day | $0 |
| Paper filing | 10–15 business days | $50 additional ($100 total) |
Colorado's online processing is among the fastest in the US. Most online filings are approved within hours, often the same business day — faster than Wyoming (1–3 days) and significantly faster than Delaware (3–5 days). Even so, fast formation doesn't fast-track the EIN — which is why a ready-made company stays the quickest route to actually trading.
