Nevada has invested heavily in marketing itself as a tax-free business paradise. And it is true that Nevada has no personal income tax, no corporate income tax, and no franchise tax. But the marketing conveniently omits the mandatory fees that make Nevada one of the more expensive states for ongoing LLC maintenance.

Every Nevada LLC must pay $350 per year in mandatory fees: a $200 Annual List of Members/Managers filing plus a $150 State Business License renewal. Compare that to Wyoming at $60/year or New Mexico at $0/year. Nevada is nearly six times more expensive than Wyoming annually, despite offering similar tax benefits.

Nevada does have genuine strengths. It provides strong asset protection, charging order protections, and does not require disclosure of members in the initial formation documents (though the Annual List does require disclosure). The state also does not share tax information with the IRS under separate agreement, which is sometimes cited as a privacy advantage.

The real annual cost of a Nevada LLC

Annual state fees: $200 (Annual List) + $150 (Business License) = $350/year. Over five years: $75 filing + $150 initial list + $150 initial license + $350 x 4 years = $1,775 in state fees. Wyoming over five years: $400. That is a $1,375 difference.

Step-by-Step: How to Form a Nevada LLC

Step 1: Choose your LLC name

Search for available names on Nevada's entity search. Your name must include "Limited-Liability Company," "Limited Liability Company," "LLC," or "L.L.C." Name reservation costs $25 for 90 days.

Step 2: Appoint a registered agent

Every Nevada LLC must have a registered agent with a physical Nevada address. The agent must be a Nevada resident, a Nevada corporation, or an LLC authorized to do business in Nevada.

Step 3: File Articles of Organization

File online through SilverFlume or by mail. The filing requires:

  • LLC name with designator
  • Registered agent name and Nevada address
  • Name and address of the organizer
  • Management structure (member-managed or manager-managed)
  • $75 filing fee

Step 4: File Initial List of Members/Managers

Step 5: Obtain State Business License

Apply for the mandatory State Business License ($150) through the Nevada Secretary of State. This must be renewed annually.

Step 6: Create an Operating Agreement

Nevada does not require an Operating Agreement to be filed, but it is essential for banking and legal protection.

Step 7: Obtain an EIN and open bank account

Standard EIN application process. Nevada LLCs are well-recognized by US banks.
