The case for ready-made

Why UK founders are buying instead of forming

You can form a US LLC from the UK yourself — but "yourself" hides a queue. You file Articles of Organization, wait for the Secretary of State to approve them, then apply to the IRS for an Employer Identification Number. The realistic combined wait is one to several weeks, and until that EIN lands, no US bank or Stripe US account will fully onboard you. That's weeks of US deals you can't bill.

A ready-made LLC removes the queue. The company is already registered in Wyoming and in good standing, and — the part that actually unblocks you — its EIN already exists. The moment the transfer completes, you can open a US business bank account, connect Stripe US, complete a W-9, and invoice American clients in USD. Founders who need to move now buy the time back.

The challenge

Why UK businesses lose US deals without a US presence

Selling to American clients through a UK entity creates friction at every step. A US LLC removes it.

"Foreign vendor" perceptionUS clients see a UK company and assume international wires, delays and complexity.
GBP invoicing frictionUS procurement teams want USD invoices from a US entity, not GBP from abroad.
Higher Stripe feesStripe UK adds ~1.5% cross-border fee on US card transactions versus Stripe US domestic rates.
No EIN, no W-9Without a US EIN you cannot complete W-9 forms — which many US companies require before paying vendors.
Currency conversion erodes marginGBP/USD spreads add up fast across every single transaction.
Domestic-vendor policiesUS enterprise clients often require domestic vendors for contracts under certain thresholds.
Why UK founders choose a US LLC

Cross the Atlantic without crossing the Atlantic

US bank accountWe guide you through Mercury, Relay or Wise Business — neobanks that accept non-resident LLC owners remotely. No US visit needed.
Stripe US — lower feesProcess US customer payments at domestic rates. Save ~1.5% on every cross-border transaction versus Stripe UK on US cards.
W-9 complianceWith your US LLC and EIN, you complete the W-9 in minutes — no more losing contracts over paperwork.
US market credibilityA Wyoming LLC with a US address signals commitment to the American market and simplifies clients' tax reporting.
Asset protection & privacyWyoming LLCs separate personal assets from US business liability — and member names are not publicly disclosed.

Banking

US bank accounts for UK LLC owners

Several US neobanks accept non-resident LLC owners remotely. We guide you through the application. Bank approval is subject to each bank's own verification requirements.

Mercury — recommendedThe most popular choice for non-resident founders: full US checking, debit card and ACH. Note: Mercury requires a genuine US business address — a registered agent address is rejected. We help you arrange a virtual office address that Mercury accepts.
Relay — popularBusiness banking built for small businesses, with multiple checking accounts and profit-first budgeting. Accepts non-resident LLC owners with proper documentation.
Wise Business — multi-currencyHold and convert 40+ currencies including GBP. Excellent for moving USD back to your UK bank at real mid-market rates, with low fees versus traditional wires.
⚠️ Mandatory annual compliance — Form 5472. If you own a US LLC as a UK citizen, the IRS requires you to file Form 5472 with a pro-forma Form 1120 every year — even if your LLC had zero revenue. It is an information return, not a tax return, and it must be filed on paper (it cannot be e-filed). The penalty for missing it is $25,000 per form, per year. The US-UK tax treaty may provide benefits but does not eliminate this requirement. Our compliance bundle ($999/year) handles this for you, along with your Wyoming annual report and registered agent renewal.
Tax overview

What UK LLC owners need to know

US
US tax obligationsSingle-member LLCs owned by non-residents are disregarded entities. With no US-source income you may have minimal US federal tax — but Form 5472 + pro-forma 1120 must be filed annually regardless. Wyoming has no state income tax. The US-UK tax treaty may reduce double taxation. BOI reporting was eliminated in March 2025.
UK
UK tax considerationsHMRC requires UK residents to report worldwide income, including from a US LLC. The US-UK Double Taxation Convention prevents being taxed twice on the same income. Your US LLC income may need reporting on your Self Assessment. A UK "permanent establishment" could create UK Corporation Tax exposure. We are not tax advisors — consult a qualified cross-border CPA or chartered accountant.

Questions from UK entrepreneurs

Why would a UK entrepreneur need a US LLC?
A US LLC gives UK entrepreneurs a genuine American business presence for selling to US clients. You get a US business address, US bank account, Stripe US account with lower processing fees on domestic transactions, and the ability to invoice in USD without currency conversion fees. Many US companies prefer working with US-registered vendors for procurement and tax simplicity — a W-9 from a US entity is far simpler than dealing with W-8BEN-E forms from a foreign company.
Can I form a US LLC from the UK without visiting the US?
Yes. The entire process is done remotely. You do not need to travel to the United States, have a US visa, or hold a Social Security number. We handle the filing with the Secretary of State, obtain your EIN by calling the IRS, and guide you through the bank account application — all while you remain in the UK. With a ready-made company, the formation and EIN are already done.
How does a US LLC interact with my UK Ltd company?
Many UK entrepreneurs operate both a UK Ltd and a US LLC. Your UK Ltd handles UK and European business, while the US LLC handles American clients. The US LLC can invoice US clients in USD, collect payments through Stripe US, and hold funds in a US bank account. You can then transfer profits to the UK via Wise Business at competitive exchange rates. Consult your accountant about intercompany arrangements and transfer pricing rules.
Will I get lower Stripe fees with a US LLC?
Yes, for US domestic transactions. Stripe US charges 2.9% + 30c for domestic card payments. Stripe UK charges an additional 1.5% cross-border fee on US card transactions. If a significant portion of your customers are US-based, processing through a Stripe US account on your US LLC reduces costs meaningfully.
What is Form 5472 and why does it matter?
Form 5472 is an IRS information return required for every US LLC owned by a non-US person. You must file it annually with a pro-forma Form 1120, even if your LLC earned no income. It must be filed on paper — the IRS does not accept electronic filing for this form. The penalty for not filing is $25,000 per form, per year. Our annual compliance service ($999/year) handles this filing for you, along with your Wyoming annual report and registered agent renewal.
Does the US-UK tax treaty help me?
The US-UK Double Taxation Convention can prevent you from being taxed twice on the same income. However, it does not eliminate US filing requirements — you must still file Form 5472 annually. The treaty may reduce or eliminate US withholding taxes on certain types of income. The specifics depend on your situation — consult a qualified cross-border tax professional.
Is BOI reporting still required?
No. Beneficial Ownership Information (BOI) reporting requirements were eliminated in March 2025. You do not need to file a BOI report with FinCEN. This simplifies compliance — your main annual obligation is Form 5472 plus your state annual report.
Can I use my UK address for the US LLC?
Your LLC will have a registered agent address in Wyoming for official state correspondence. For banking purposes — particularly Mercury — you may need a US virtual office address. Mercury rejects applications that use a registered agent address as the business address. We help you arrange a suitable US virtual office address. Your UK address can be used on certain IRS filings as your personal foreign address.
