New York LLC: What to Expect
New York is the financial capital of the world, home to Wall Street, a massive consumer market, and some of the highest business costs in the country. Forming an LLC in New York costs more than almost any other state, primarily because of a unique requirement that exists nowhere else: the publication requirement.
After forming your New York LLC, you must publish a notice of formation in two designated newspapers for six consecutive weeks. In New York City, this costs $1,500-$2,000 or more. In cheaper upstate counties, it can be as low as $300-$500. This is in addition to the $200 filing fee, making New York one of the most expensive states for LLC formation.
New York LLCs make sense if you operate in New York, need a New York address for business credibility, or are required to register there due to physical presence or employees. For everyone else, particularly non-residents, we strongly recommend Wyoming or New Mexico.

Total first-year cost in New York City
Realistically, forming an LLC in New York City costs $1,750-$2,250+ in total: $200 filing + $1,500-$2,000 publication + $50 certificate of publication. This is before service fees, registered agent, or EIN costs. Compare that to Wyoming's total first-year cost of $160 ($100 filing + $60 annual report).
The Publication Requirement: New York's Unique Burden
New York Section 206 of the LLC Law requires every new LLC to publish a copy of its Articles of Organization (or a notice of formation) in two newspapers designated by the county clerk in the county where the LLC's office is located. The notice must run once a week for six consecutive weeks.
How it works:
- Form your LLC with the Department of State
- Within 120 days, visit the county clerk's office (or contact them) to get the names of two designated newspapers
- Arrange publication in both newspapers for six consecutive weeks
- Obtain affidavits of publication from each newspaper
- File a Certificate of Publication with the Department of State ($50 fee)
Cost by county (approximate):
- New York County (Manhattan): $1,500-$2,000+
- Kings County (Brooklyn): $1,200-$1,800
- Queens County: $1,000-$1,500
- Albany County: $400-$700
- Rural upstate counties: $300-$500
The county workaround
Some entrepreneurs form their LLC with an office address in a cheaper upstate county to reduce publication costs, then later amend the address if needed. While legal, this adds complexity. The amendment itself costs $60. Weigh whether the savings justify the additional paperwork.
Step-by-Step: How to Form a New York LLC
Step 1: Choose your LLC name
Search for available names on the New York Entity Search. Your name must include "Limited Liability Company," "LLC," or "L.L.C." Name reservation costs $20 for 60 days.
Step 2: Designate an agent for service of process
New York LLCs must designate the Secretary of State as the agent for service of process. You then provide a mailing address where the Secretary of State will forward any legal documents received.
Step 3: File Articles of Organization
File online or by mail with the NY Department of State. The filing requires:
- LLC name with designator
- County where the office is located
- Secretary of State designated as agent for service of process
- Address for forwarding of process
- Effective date (optional)
- Duration (perpetual or specific)
- $200 filing fee
Step 4: Complete publication requirement
Within 120 days of formation, publish in two designated newspapers for six consecutive weeks, then file the Certificate of Publication ($50).
Step 5: Create an Operating Agreement
New York requires LLCs to adopt a written Operating Agreement within 90 days of filing the Articles of Organization. This is a legal requirement under NY LLC Law Section 417.
Step 6: Obtain an EIN and open bank account
Standard EIN application process. New York LLCs are universally accepted by US banks.
