New York LLC: What to Expect

New York is the financial capital of the world, home to Wall Street, a massive consumer market, and some of the highest business costs in the country. Forming an LLC in New York costs more than almost any other state, primarily because of a unique requirement that exists nowhere else: the publication requirement.

After forming your New York LLC, you must publish a notice of formation in two designated newspapers for six consecutive weeks. In New York City, this costs $1,500-$2,000 or more. In cheaper upstate counties, it can be as low as $300-$500. This is in addition to the $200 filing fee, making New York one of the most expensive states for LLC formation.

Total first-year cost in New York City

Realistically, forming an LLC in New York City costs $1,750-$2,250+ in total: $200 filing + $1,500-$2,000 publication + $50 certificate of publication. This is before service fees, registered agent, or EIN costs. Compare that to Wyoming's total first-year cost of $160 ($100 filing + $60 annual report).

The Publication Requirement: New York's Unique Burden

New York Section 206 of the LLC Law requires every new LLC to publish a copy of its Articles of Organization (or a notice of formation) in two newspapers designated by the county clerk in the county where the LLC's office is located. The notice must run once a week for six consecutive weeks.

The county workaround

Some entrepreneurs form their LLC with an office address in a cheaper upstate county to reduce publication costs, then later amend the address if needed. While legal, this adds complexity. The amendment itself costs $60. Weigh whether the savings justify the additional paperwork.

Step-by-Step: How to Form a New York LLC

Step 1: Choose your LLC name

Search for available names on the New York Entity Search. Your name must include "Limited Liability Company," "LLC," or "L.L.C." Name reservation costs $20 for 60 days.

Step 2: Designate an agent for service of process

New York LLCs must designate the Secretary of State as the agent for service of process. You then provide a mailing address where the Secretary of State will forward any legal documents received.

Step 3: File Articles of Organization

File online or by mail with the NY Department of State. The filing requires:

  • LLC name with designator
  • County where the office is located
  • Secretary of State designated as agent for service of process
  • Address for forwarding of process
  • Effective date (optional)
  • Duration (perpetual or specific)
