These Terms of Service ("Terms") govern your use of the website usllcglobal.com and the services provided by Fine Content Limited trading as USLLCGlobal ("we", "us", "our"). By using our website or engaging our services, you agree to these Terms in full.

1. About Us

USLLCGlobal is operated by Fine Content Limited, a company registered in England and Wales (Company No. 16603901). We provide business formation filing services, EIN application assistance, and compliance filing services. We are not a law firm, CPA firm, or registered agent.

2. Service Scope

What we do

• File LLC formation documents with the relevant US Secretary of State on your behalf
• Apply for an Employer Identification Number (EIN) with the IRS on your behalf
• Prepare and file annual compliance documents (annual reports, Form 5472)
• Provide guidance on US bank account applications (not a guarantee of approval)
• Prepare Operating Agreements and other standard formation documents
• Provide registered agent services through third-party registered agent providers

What we do not do

• Provide legal advice or act as your attorney
• Provide tax advice or act as your accountant or CPA
• Guarantee bank account approval (banks have their own KYC and approval criteria)
• Guarantee Stripe, PayPal, or any payment processor approval
• Provide immigration advice or sponsor visas
• Act as your registered agent directly (we arrange this through licensed providers)

3. Orders and Payment

• All prices are listed in US Dollars (USD)
• Payment is due in full at the time of order
• We accept credit and debit cards (Visa, Mastercard, Amex) via Stripe
• Bank transfers are accepted for orders over $500
• Prices include the state filing fees for the selected state
• If you select a state with higher filing fees than Wyoming, the difference is added to your total and disclosed before payment

4. Refund Policy

Before filing

If we have not yet submitted your LLC formation filing to the Secretary of State, you may cancel for a full refund minus a $50 processing fee to cover administrative costs.

After filing

Once your LLC formation has been filed with the Secretary of State, the state filing fee portion is non-refundable, as it has been paid directly to the state government. Our service fee will be refunded if the filing is rejected by the state through our error.

EIN applications

EIN applications, once submitted to the IRS, are non-refundable. If the IRS rejects the application due to information you provided, we will re-submit at no additional charge up to two times.

Annual compliance

Annual compliance fees are non-refundable once the compliance period has begun. If you cancel mid-year, filings already completed or in progress are non-refundable.

Bank account guidance

Bank account guidance fees are non-refundable, as we provide our guidance and document preparation service regardless of whether the bank approves your application. Bank approval is entirely at the discretion of the bank.

5. Your Responsibilities

• Provide accurate, complete, and truthful information for all filings
• Respond to our requests for information within a reasonable timeframe
• Maintain your LLC in good standing by renewing your registered agent and filing annual reports (or purchasing our compliance service)
• Comply with all applicable US federal, state, and local laws, as well as the laws of your country of residence
• File all required tax returns and pay all applicable taxes
• Notify us of any changes to your contact information

6. Processing Times

Processing times depend on the state selected and government agency workloads:

• LLC formation: 1-7 business days depending on state (Wyoming typically 1-3 days)
• EIN application: Same-day issuance when filed by phone during IRS business hours
• Annual reports: Filed in advance of deadlines; processing varies by state
• Form 5472: Prepared and paper-filed with the IRS before the annual deadline

We are not responsible for delays caused by government agencies, incomplete information from you, or circumstances beyond our control.

7. Limitation of Liability

To the maximum extent permitted by law:

• Our total liability for any claim arising from our services is limited to the fees you paid for the specific service giving rise to the claim
• We are not liable for any indirect, incidental, consequential, or punitive damages
• We are not liable for losses arising from bank account rejections, payment processor denials, or government filing delays
• We are not liable for penalties, fines, or interest imposed by any government agency, except where directly caused by our negligent failure to file documents we were engaged to file

8. Intellectual Property

All content on usllcglobal.com — including text, graphics, logos, and design — is owned by Fine Content Limited and protected by copyright law. You may not reproduce, distribute, or create derivative works from our content without written permission.

9. Third-Party Services

We use third-party service providers including Stripe (payments), registered agent companies, and virtual office providers. These services are governed by their own terms. We are not responsible for the acts or omissions of third-party providers.

10. OFAC Compliance

We comply with the US Office of Foreign Assets Control (OFAC) sanctions programme. We cannot provide services to individuals or entities in countries subject to comprehensive US sanctions, or to individuals on the OFAC Specially Designated Nationals (SDN) list. If your application is declined for sanctions compliance reasons, you will receive a full refund.

11. Governing Law

These Terms are governed by the laws of England and Wales. Any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales, except where mandatory consumer protection laws in your country of residence provide otherwise.

12. Changes to Terms

We may update these Terms from time to time. Changes take effect when posted on this page. Continued use of our services after changes constitutes acceptance of the updated Terms.

13. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
