German Entrepreneur? Enter the US Market with a Wyoming LLC

Last updated: April 24, 2026 · By Shepherd Nyakudya, Founder of USLLCGlobal

Germany's startup ecosystem is Europe's largest — but selling to American clients through a GmbH means EUR-USD friction, cross-border Stripe fees, and the "foreign vendor" barrier. A US LLC gives you a genuine American business presence — US address, US bank account, USD invoicing — formed in 1-5 days from Berlin, Munich, or anywhere in Germany.

Why German businesses lose US deals without a US presence

🚫 Barriers German entrepreneurs face in the US market

  • US clients see a GmbH and assume complex international payments, wire transfer fees, and delays
  • Invoicing in EUR creates friction — US procurement teams want USD invoices from US entities
  • Stripe Germany charges additional cross-border fees on US card transactions
  • No US EIN means you cannot complete W-9 forms — many US companies require these before paying vendors
  • EUR-USD conversion on every transaction erodes margins — bank spreads add up significantly
  • German GmbH registration requirements (€25,000 minimum capital) feel excessive for a US sales channel

✅ What a US LLC gives you

  • 🟢 Stripe US account — process US card payments at domestic rates (2.9% + 30c, no cross-border fee)
  • 🟢 US bank account in USD — receive ACH payments, hold USD without conversion
  • 🟢 W-9 ready — your US LLC has an EIN and can complete W-9 forms immediately
  • 🟢 USD invoicing from a US entity — eliminates the "foreign vendor" objection
  • 🟢 No minimum capital requirement — Wyoming LLC costs $100 state fee plus our service fee
  • 🟢 Transfer USD to EUR via Wise Business at mid-market rates when you choose

From Berlin to Silicon Valley — without the flight

Germany is Europe's largest startup ecosystem. A US LLC opens the American market without the complexity of a full US subsidiary.

💵

USD Revenue, Zero Conversion

Invoice US clients in USD from a US entity. Hold funds in your US bank account. Convert to EUR only when the exchange rate suits you — not on every transaction.

🏦

US Bank Account

We guide you through applications at Mercury, Relay, or Wise Business — neobanks that accept non-resident LLC owners remotely. No US visit needed. Mercury requires a real US address, not a registered agent address.

💳

Stripe US — Lower Fees

Process US customer payments through Stripe US at domestic rates. Save on cross-border fees compared to processing through Stripe Germany for US cards.

📋

W-9 Compliance

US companies require a W-9 from vendors before paying them. With your US LLC and EIN, you complete the W-9 in minutes — no more losing contracts over paperwork.

🚀

Lean US Entry

A Wyoming LLC has no minimum capital requirement, no annual shareholder meetings, and minimal reporting. Compare that to a GmbH's €25,000 Stammkapital or a US C-Corp's double taxation.

🛡️

Asset Protection

Wyoming LLCs provide strong asset protection and privacy. Your personal assets are separated from US business liability. No public disclosure of member names in Wyoming.

From Berlin to US LLC in four steps

2

We File Your LLC

Articles of Organization filed with the Secretary of State. You provide your details, we handle everything. 1-5 business days.

3

EIN Same-Day

We call the IRS and get your Employer Identification Number issued the same day. This is your US business tax ID for banking and Stripe.

4

Bank + Stripe Setup

We guide you through US bank account applications and Stripe US registration. You apply directly — we prepare your documents and walk you through it.

US bank accounts for German LLC owners

Several US neobanks accept non-resident LLC owners remotely. We guide you through the application process.

Recommended

Mercury

The most popular choice for non-resident founders. Full US checking account, debit card, and ACH transfers. Important: Mercury requires a genuine US business address — a registered agent (RA) address will be rejected. We help you arrange a virtual office address that Mercury accepts.

Popular

Relay

Business banking built for small businesses. Multiple checking accounts, profit-first budgeting. Accepts non-resident LLC owners with proper documentation. Good alternative if Mercury is not available.

Multi-Currency

Wise Business

Hold and convert 40+ currencies including EUR. Excellent for transferring USD back to your German bank account at real mid-market exchange rates. Low transfer fees compared to traditional SWIFT wires. Many German founders already use Wise personally.

Every foreign-owned LLC must file Form 5472

$25,000 penalty for not filing

If you own a US LLC as a German citizen, the IRS requires you to file Form 5472 with a pro-forma Form 1120 every year — even if your LLC had zero revenue. This is an information return, not a tax return. The penalty for missing this filing is $25,000 per form, per year. Form 5472 must be filed on paper — it cannot be e-filed. Our compliance bundle handles this for you.

What German LLC owners need to know

US Tax Obligations

  • Single-member LLCs owned by non-residents are treated as disregarded entities for US tax purposes
  • If your LLC has no US-source income, you may have minimal US federal tax obligations
  • Form 5472 + pro-forma 1120 must be filed annually regardless of income
  • Wyoming has no state income tax — preferred state for non-residents
  • The US-Germany tax treaty may provide benefits regarding double taxation
  • BOI reporting was eliminated in March 2025 — you do not need to file this

German Tax Considerations

  • German residents must report worldwide income to the Finanzamt — including US LLC income
  • The US-Germany Double Taxation Treaty (DBA) prevents being taxed twice on the same income
  • German CFC rules (AStG §7-14) may apply to foreign entity income — consult your Steuerberater
  • A US LLC may be treated as transparent or opaque for German tax purposes depending on structure
  • We are not tax advisors — consult a qualified Steuerberater or CPA for your specific situation

Questions from German founders

Why would a German entrepreneur need a US LLC?
A US LLC gives German entrepreneurs a genuine American business presence for selling to US clients. You get a US business address, US bank account, Stripe US account with lower processing fees on domestic transactions, and the ability to invoice in USD. US companies prefer working with US-registered vendors — a W-9 from a US entity is far simpler than dealing with W-8BEN-E forms from a foreign company.
Can I form a US LLC from Germany without visiting the US?
Yes. The entire process is done remotely. You do not need to travel to the United States, have a US visa, or hold a Social Security number. We handle the filing with the Secretary of State, obtain your EIN by calling the IRS, and guide you through the bank account application — all while you remain in Germany.
How does a US LLC interact with my German GmbH?
Many German entrepreneurs operate both a GmbH and a US LLC. Your GmbH handles European business while the US LLC handles American clients. The US LLC invoices in USD, collects via Stripe US, and holds funds in a US bank account. Transfer profits via Wise Business at competitive rates. Consult your Steuerberater about intercompany arrangements and transfer pricing.
Will I get lower Stripe fees with a US LLC?
Yes, for US domestic transactions. Stripe US charges 2.9% + 30c for domestic card payments. Stripe Germany charges additional cross-border fees on US transactions. Processing US payments through Stripe US on your LLC reduces costs and eliminates EUR-USD conversion spreads.
What is Form 5472 and why does it matter?
Form 5472 is an IRS information return required for every US LLC owned by a non-US person. You must file it annually with a pro-forma Form 1120, even if your LLC earned no income. It must be filed on paper. The penalty for not filing is $25,000 per form, per year. Our annual compliance service ($999/year) handles this filing for you.
Does the US-Germany tax treaty help me?
The US-Germany Double Taxation Treaty (DBA) can prevent you from being taxed twice on the same income. However, it does not eliminate US filing requirements — you must still file Form 5472 annually. The treaty may reduce or eliminate US withholding taxes. Consult a qualified cross-border Steuerberater or CPA.
Is BOI reporting still required?
No. Beneficial Ownership Information (BOI) reporting requirements were eliminated in March 2025. You do not need to file a BOI report with FinCEN. Your main annual obligation is Form 5472 plus your state annual report.
What about German CFC rules (Hinzurechnungsbesteuerung)?
German CFC rules under the AStG may apply to income from a US LLC if the LLC earns passive income taxed at less than 25%. Active business income is generally exempt. The classification of your US LLC as transparent or opaque for German tax purposes adds complexity. This is a specialist area — consult a Steuerberater experienced in US-German cross-border structures before forming your LLC.
