What is Form 5472 and why does it matter?
Form 5472 is an IRS information return required for every US LLC owned by a non-US person. You must file it annually with a pro-forma Form 1120, even if your LLC earned no income. Does the US-Germany tax treaty help me?
The US–Germany Double Taxation Treaty (DBA) can prevent you from being taxed twice on the same income. However, it does not eliminate US filing requirements — you must still file Form 5472 annually. Is BOI reporting still required?
No. Beneficial Ownership Information (BOI) reporting requirements were eliminated in March 2025. You do not need to file a BOI report with FinCEN. Your main annual obligation is Form 5472 plus your state annual report.
What about German CFC rules (Hinzurechnungsbesteuerung)?
German CFC rules under the AStG may apply to income from a US LLC if the LLC earns passive income taxed at less than 25%. Active business income is generally exempt. The classification of your US LLC as transparent or opaque for German tax purposes adds complexity. This is a specialist area — consult a Steuerberater experienced in US-German cross-border structures before forming your LLC.
